Indemnification

You agree to defend, indemnify, and hold harmless FarmUp USA Foundation, its officers, directors, employees, volunteers, educational partners, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these terms, your use of our digital resources, participation in mobile farmers market events, or implementation of school and community garden builds.

Disclaimer of Warranties

All educational materials, gardening manuals, nutritional book guides, workshop schedules, and website materials are provided on an 'as is' and 'as available' basis without warranties of any kind, either express or implied. FarmUp USA Foundation does not warrant that site operations will be uninterrupted, error-free, or free of harmful components. Program schedules and school visit availability are subject to change based on weather and field conditions.

Governing Law and Jurisdiction

All matters relating to the website, educational scheduling tools, and these Terms of Use, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the internal laws of the State of incorporation without giving effect to any choice or conflict of law provision or rule.

Dispute Resolution & Informal Negotiation

Prior to filing any formal legal proceeding, parties agree to attempt in good faith to resolve any controversy or claim through informal discussions with FarmUp USA Foundation leadership. If informal resolution is unsuccessful within forty-five (45) business days, disputes shall be submitted to binding arbitration or applicable jurisdictional courts.

Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary such that the remaining provisions of the Terms will continue in full force and effect.

Entire Agreement

These Terms of Use, together with our Privacy Policy and any applicable Program Scheduling Agreements, constitute the sole and entire agreement between you and FarmUp USA Foundation regarding digital access and community resource utilization, superseding all prior written and oral understandings.

Amendments and Modifications to Terms

FarmUp USA Foundation reserves the right to revise and update these legal provisions at any time. All revisions are effective immediately upon posting. Your continued use of the website or booking of school visits following the posting of revised provisions indicates your acceptance and agreement to the modifications.

1. User Eligibility

Who can access and participate in our programs

Our services, educational materials, and school visit booking scheduler are designed for public and private schools, non-profit community organizations, faith-based groups, educators, and community members aged 18 and older. Minors may access educational guides and participate in on-site school garden workshops only under the direct supervision of an authorized parent, legal guardian, or certified school representative.

Key Commitments:
  • Authorized representatives booking school visits must possess verified institutional authority.
  • Community garden participants must adhere to all local safety guidelines and volunteer agreements.
  • Account registrants must be at least 18 years of age.
2. Account Creation & Verification

Requirements for educator and coordinator profiles

When registering for an educator or volunteer coordinator account, you agree to provide accurate, current, and complete contact information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your profile.

Key Commitments:
  • Use verifiable organizational email addresses when requesting school visits.
  • Promptly update changes to contact details or school administrative personnel.
  • Notify FarmUp USA Foundation immediately of any unauthorized account access.
3. Acceptable Use Policy

Standards for utilizing educational resources and booking tools

FarmUp USA Foundation grants you a revocable, non-exclusive license to view, download, and reproduce our published gardening curricula, nutritional guidebooks, and seasonal planting charts solely for non-commercial educational instruction within classrooms, community centers, and neighborhood plots.

Key Commitments:
  • All downloaded books and guides must retain original attribution to FarmUp USA Foundation.
  • Visit scheduling tools must be used in good faith for confirmed student or community groups.
  • Cooperative feedback and gardening outcome reports should remain accurate and respectful.
4. Prohibited Activities

Strict boundaries protecting our community and digital assets

To preserve a safe and productive environment for all participants, you strictly agree not to engage in unauthorized commercialization, service disruption, or unlawful conduct on the FarmUp USA Foundation digital platform.

Key Commitments:
  • Reselling, licensing, or commercializing foundation curriculum, printables, or toolkits.
  • Submitting automated or fraudulent school visit booking reservations.
  • Attempting to decompile, reverse-engineer, or breach system security protections.
  • Distributing harmful code, misleading agricultural advice, or abusive communications.
5. Intellectual Property Rights

Ownership of curricula, book titles, and visual assets

All content featured on this platform—including instructional books, planting calendars, lesson outlines, mobile market branding, illustrations, graphics, and trademarks—is the exclusive intellectual property of FarmUp USA Foundation or its licensed content partners, safeguarded by applicable copyright and trademark laws.

Key Commitments:
  • FarmUp USA Foundation logo, marks, and slogans cannot be used without prior written authorization.
  • Custom classroom adaptations must attribute source material to FarmUp USA Foundation.
  • Photographs from foundation events may not be repurposed for external promotional campaigns.
6. Limitation of Liability

Legal boundaries regarding agricultural resources and site use

Educational resources and planting guidelines are offered for general informational enrichment. While FarmUp USA Foundation strives to provide safe, accurate horticultural and nutritional instruction, outcomes depend on local soil conditions, climate factors, and independent implementation. FarmUp USA Foundation shall not be liable for any indirect, incidental, or consequential damages resulting from platform access or garden execution.

Key Commitments:
  • Gardeners and schools are encouraged to conduct soil testing prior to planting edible crops.
  • Platform availability and scheduler uptime are maintained on an as-available basis.
  • External links to public extension services are provided for reference without endorsement warranties.
